USER AGREEMENT AND SITE POLICY

DEFINITIONS

User : Any user of ResumeEmail.com including but not limited to Recruiters, JobSeekers, Affiliates, Counselors.
ResumeEmail.com : ResumeEmail.com website, and its affiliated companies


ACCEPTABLE USE

User agrees to use ResumeEmail.com to obtain and exchange employment specific data.

User shall have the right to publish through ResumeEmail.com certain content describing the User and such other information.

Unless otherwise agreed in advance, User hereby grants ResumeEmail.com, a royalty-free, non-exclusive license to use, disclose, reproduce, modify, license and distribute any and all content provided by User to ResumeEmail.com.


CONTENT RESTRICTIONS

While ResumeEmail.com does not and cannot review every message or item published by Users on ResumeEmail.com and is not responsible for the content of these published materials, ResumeEmail.com reserves the right to edit content that ResumeEmail.com deems defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable.


REGISTRATION AND SECURITY

User shall provide ResumeEmail.com with registration information that correctly represents User's professional licensing, experience and ability.

User shall notify ResumeEmail.com at administrator@ResumeEmail.com of any known or suspected unauthorized use(s) of User's account, or any known or suspected breach of security.


COMMUNICATIONS BETWEEN RESUMEEMAIL.COM AND MEMBERS

Unless User indicates by notifying administrator@ResumeEmail.com that User does not want to receive such information, ResumeEmail.com reserves the right to disclose certain limited User information for the purpose of providing User with information about products and ResumeEmail.com.

ResumeEmail.com reserves the right to send electronic mail to any and all Users for the purpose of informing them of changes or additions to ResumeEmail.com, this Agreement, or of any ResumeEmail.com related products and ResumeEmail.com.


CHANGES TO RESUMEEMAIL.COM

ResumeEmail.com reserves the right to change or discontinue any part of ResumeEmail.com website and service. ResumeEmail.com may also impose limits on certain features without notice or liability. Notification of any such change will be posted on ResumeEmail.com or sent to User via e-mail.

If ResumeEmail.com makes changes to ResumeEmail.com, and if the changes cause User to be in default under the terms of this Agreement, User may terminate its subscription by sending an e-mail notice of termination to administrator@ResumeEmail.com . However, User's continued use of ResumeEmail.com following the posting of notice of any such change will constitute a binding acceptance by User.


TERMINATION AND REFUND POLICY

User may terminate User's account at any time by sending e-mail to adminstrator@ResumeEmail.com

Promotional products provided with purchase by ResumeEmail.com are provided without an ResumeEmail.com warranty of any kind, expressed or implied, including those of merchantability and fitness for a particular purpose, or arising from a course of dealing, usage or trade practice. Any and all warranties available for promotional products are provided directly by the manufacturer. ResumeEmail.com makes no warranties or representations regarding the accuracy or completeness of the promotional product information provided.


SITE LIMITATION

User hereby indemnifies, defends and holds ResumeEmail.com, its officers, directors, owners, agents, information providers, affiliates, licensors, licensees, and Users (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any technical failure in ResumeEmail.com. Technical failure may occur as a result of power failure, Site upgrade, faulty internet connection, programming errors, database errors, and any other cause.

User hereby indemnifies, defends and holds ResumeEmail.com, its officers, directors, owners, agents, information providers, affiliates, licensors, licensees, and Users (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any Administration failure or errors in ResumeEmail.com. Administration Failure and error can occur by reason of human error or computer error and are not limited by scope.


REPRESENTATIONS AND WARRANTIES

User represents, warrants and covenants:
(a) that no materials of any kind submitted through User's account will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material;

(b) that User's published materials on ResumeEmail.com or use of ResumeEmail.com does not violate any federal, state or local laws.

User hereby indemnifies, defends and holds ResumeEmail.com, and its officers, directors, owners, agents, information providers, affiliates, licensors, licensees, and Users (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by User of this Agreement, including, reasonable attorneys' fees and costs.


RESUMEEMAIL.COM IS USED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. USER HEREBY ACKNOWLEDGES THAT USE OF RESUMEEMAIL.COM IS AT USER'S SOLE RISK.
